1. Introduction

These Terms & Conditions govern:

  • Use of www.joshuasokoya.com
  • All photography, videography, and related creative services provided by Joshua Sokoya (“we”, “us”, “our”).

By engaging our services or using this website, you agree to be bound by these Terms.

2. Services

Joshua Sokoya provides photography, videography, content creation, and related creative services throughout the United Kingdom.

All services are subject to a written agreement, proposal, invoice, or booking confirmation.

BOOKING, DEPOSITS & CANCELLATION POLICY

3. Booking & Deposit

To confirm a booking and secure the agreed date and time, a 50% deposit of the total package price is required.

No date is secured until the deposit has been received and confirmed in writing.

Except where stated below, deposits are non-refundable.

4. Cancellations – Original Booking

If the client cancels the original booking:

  • More than 60 days before the shoot date:
    The deposit is fully refundable.
  • Between 60 days and 7 days before the shoot date:
    The deposit is non-refundable and will be forfeited.
  • Within 7 days of the shoot date:
    The full agreed package price becomes immediately due and payable.

The parties acknowledge that late cancellations result in loss of opportunity to secure alternative bookings and that these amounts represent a reasonable estimate of that loss.

5. Rescheduling

30+ Days Before the Shoot

The client may reschedule once without penalty, subject to availability.

Between 30 Days and 7 Days Before the Shoot

Rescheduling is subject to availability.
A rescheduling fee of 10% of the total package price will be added to the final invoice.

Within 7 Days of the Shoot

Rescheduling requests made within 7 days of the shoot are treated as cancellations:

  • The original deposit will be forfeited.
  • A new 50% deposit is required to secure a new date.
  • If a new booking is not made, the full package price remains payable.

6. Rescheduled Bookings

Once a booking has been rescheduled:

  • The deposit becomes strictly non-refundable.
  • If the rescheduled session is cancelled at any time, regardless of notice period, the deposit is forfeited.

7. Failure to Attend

Failure to attend without prior written notice will be treated as a cancellation within 7 days. The full package price remains payable.

PAYMENT TERMS

8. Payment

  • The remaining balance must be paid in accordance with the invoice terms.
  • We reserve the right to withhold delivery of final images or videos until full payment has been received.
  • Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

INTELLECTUAL PROPERTY & LICENSING

9. Copyright Ownership

All photographs, video footage, audio recordings, and creative works remain the intellectual property of Joshua Sokoya unless otherwise agreed in writing.

Copyright is not transferred to the client.

10. Licence to Use

Upon full payment, the client is granted a non-exclusive, non-transferable licence to use the final deliverables for the agreed purpose only.

Unless otherwise agreed:

  • Commercial usage is limited to the agreed platforms and campaign scope.
  • Images and videos may not be resold, sublicensed, or provided to third parties without written permission.
  • Raw files are not included.

Extended usage, paid advertising usage, national campaigns, packaging, or resale rights require a separate licence agreement.

11. Portfolio & Promotional Use

We reserve the right to use completed work for:

  • Portfolio
  • Website
  • Social media
  • Marketing materials
  • Awards submissions
  • Press features

Unless a prior written non-disclosure agreement (NDA) has been agreed.

DELIVERY & FILE STORAGE

12. Delivery Platforms

Final deliverables may be provided via professional platforms including:

  • CloudSpot (for photography galleries)
  • Frame.io (for video review and delivery)

Download links may expire. Clients are responsible for downloading and securely backing up their files.

We are not liable for data loss once files have been delivered.

CLIENT RESPONSIBILITIES

13. Client Obligations

The client agrees to:

  • Provide accurate information
  • Obtain necessary permissions and permits
  • Secure model releases where required (unless agreed otherwise)
  • Ensure timely communication and feedback

Delays caused by the client may affect delivery timelines.

LIMITATION OF LIABILITY

14. Limitation of Liability

We take all reasonable care in providing services. However:

  • We are not liable for indirect, incidental, or consequential losses.
  • Liability is limited to the total amount paid for the specific project.
  • We are not responsible for third-party platform outages or technical failures.

Nothing in these Terms limits liability for death, personal injury, or fraud.

FORCE MAJEURE

15. Force Majeure

We shall not be liable for failure to perform obligations due to events beyond reasonable control, including:

  • Severe weather
  • Government restrictions
  • Venue cancellation
  • Illness
  • Equipment theft despite reasonable precautions

In such cases, both parties will attempt to reschedule. If rescheduling is not possible, liability is limited to refunding monies paid, excluding non-recoverable expenses already incurred.

WEBSITE TERMS

16. Website Use

You agree not to:

  • Use the website unlawfully
  • Attempt unauthorised access
  • Copy or reproduce website content without permission
  • Introduce malicious software

The website is hosted by Hostinger and built using WordPress.

All content remains the property of Joshua Sokoya unless otherwise stated.

DATA PROTECTION

17. Privacy

Personal data is processed in accordance with our Privacy Policy.

GOVERNING LAW

18. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Important

These Terms apply in addition to any individual contract or proposal agreed for specific projects. Where a signed contract exists, that contract shall take precedence in the event of conflict.
